Welcome to A Major Philosophy (AMP). This Site is owned and operated by ZYF TEX Pvt. Ltd. These terms govern the use of this site. Any purchase constitutes your agreement to follow and be bound by these terms. A Major Philosophy (AMP) may modify or change these terms at any time, without prior notice. Your use of this Site following any such change constitutes your agreement to follow and be bound by the terms as modified. If at any time you do not agree to or fail to abide by these terms you are no longer permitted to use this Site.

Placing orders for goods

Descriptions of Products and price quotations on the Site are not offers to sell and should not be construed by the Buyer as such. All orders for Products from this Site shall be deemed offers from Buyer to purchase such Products. E-mail or other electronic acknowledgement by us of receipt of an order placed by a Buyer does not constitute legal acceptance by us of an order. All orders are subject to express written approval and acceptance by A Major Philosophy (AMP) The Buyer shall be responsible for ensuring the accuracy of the details provided and A Major Philosophy (AMP) will not be liable or responsible for any harm, damages, delay or increased costs caused by any inaccurate information provided by Buyer.

A Major Philosophy (AMP) uses all reasonable efforts to ensure that the Products displayed on this Site are available and there is an ample supply to fill Buyers' needs. Nevertheless, there will be instances whenA Major Philosophy (AMP) is not able to fill Buyers' orders. In such case, Buyers will be charged only for Products actually shipped and the invoice or receipt will indicate which Products have been back-ordered or cancelled.

Acceptance and rejection of orders

No order submitted by you shall be deemed to have been accepted by us unless and until confirmed by us. All orders are subject to availability and Goods cannot be reserved. We reserve the right to refuse to accept any order placed by you.

You shall be responsible for ensuring the accuracy of the terms of any order submitted by you (including but not limited to size and quantity) and for giving us any necessary information relating to the Goods within a sufficient time to enable us to perform the Contract in accordance with these Conditions.

If the Goods are to be manufactured or any process is to be applied to the Goods by us in accordance with a specification submitted by you, we shall be able to recover from you all loss, damages, costs and expenses awarded against or incurred by us in connection with or paid or agreed to be paid by us in settlement of any claim for infringement of any patent, copyright, design right, trade mark or other intellectual property rights of any other person which results from our use of your specification. We reserve the right to make changes in the specification of the Goods which are required to conform with any applicable statutory.

Price and payment

Only if mentioned in contract otherwise, price lists may be altered without notice and goods are invoiced at prices in force on the day of dispatch. In the case of goods and services, which are the subject of a written quotation, the validity of prices are as detailed in that quotation.

Variations – In the event of variations or suspensions of the work by the Purchaser’s instructions or lack of instructions, the contract price shall be adjusted to reflect costs involved. Where a price per unit has been quoted and the Purchaser requires a smaller number of units to be delivered than those quoted for, A Major Philosophy (AMP) reserves the right to adjust the rates of prices applicable thereto.

Delivery

The target delivery date is an estimated delivery date at the point of sale and A Major Philosophy (AMP) shall endeavour to meet this. The lack of raw materials, late or disadvantageous delivery of goods, conditions that constitute "Force Majeure" meaning an excusable delay, unforeseen circumstances proved to be beyond the reasonable control and without the fault or negligence of the Purchaser or A Major Philosophy (AMP) including but not limited to acts of God, natural disasters, fire, flood, explosions, earthquakes, accident, civil unrest, any act of the Government of the Purchaser or the Supplier, war, insurrection, embargo, actions of the other party, riots, or strikes affecting the Purchaser, the Supplier or the Customer. The parties non-compliance with any rule, regulation or government agency shall not constitute Excusable Delay, or the failure of the Purchaser to furnish necessary information or instructions for any reason whatsoever, release us from the agreed delivery dates, and if necessary, from the contracted responsibility for delivery.

Claims for damages or any consequential loss on account of late or incomplete delivery cannot be considered valid.

Should there be a default in payment by the due date in the case of a contract or order which involves more than one delivery, A Major Philosophy (AMP) reserves the right to suspend or cancel all or part of that contract on order.

Where bespoke Footwear are to be manufactured in accordance with the Purchaser’s requirements, the quoted lead-time shall commence from receipt of written confirmation of actual requirements and valid payment as set out on the email confirmation and job sheet that is issued. A copy of the email confirmation and job sheet are also available on request.

If goods are out of stock, A Major Philosophy (AMP) will notify the Purchaser via email as soon as possible and by no later than 15 days from the due delivery date and advise if alternatives are available. A Major Philosophy (AMP) will aim to replenish stock levels as soon as possible, although are not be obliged to do so. If the Purchaser orders more than one product, the A Major Philosophy (AMP) does not guarantee that all goods will be delivered in a single delivery and we reserve the right to deliver in instalments.

Order cancellation

If the Purchaser cancels the order or any part thereof, or fails to take delivery of any goods at the time agreed, should such cancellation or failure cause disruption to the A Major Philosophy (AMP) production, the Purchaser shall be liable, without prejudice to any other rights of the A Major Philosophy (AMP) to claim damages, to indemnify the ampshoes.com against any loss, damage or expense incurred by the A Major Philosophy (AMP) in connection with the manufacture or non-manufacture of the goods, the cost of any material or tools used or intended to be used thereof and the cost of labour and other overheads.

For stock items only, the Purchaser has a legal right to cancel the contract without giving any reason within 7 days of the day after you received the goods. This is the "Cancellation Period". The Purchaser can cancel by sending the A Major Philosophy (AMP) the cancellation form provided or by letting us know in any other way by post to ZYF TEX Private Ltd No-54, Gudiyatham Road,Chinnavarigam Village,Thuthipattu Post,Vellore, Tamil Nadu, 635811 or by email at customercare@zyftex.com or over the phone on 7022614444 The Purchaser should keep evidence of having given notice of cancellation, such as an email receipt or fax confirmation report.

Return Policy

Products can be returned for a refund within 5 days of the purchase date. Any items must be returned unworn and in original condition. Any tags found on the product must remain attached.

Items can be shipped by using a carrier of the buyer's choice. The original shipment includes a pre-printed label and return form that should be included with the item being returned. Customers are responsible for paying any shipping charges for products returned to A Major Philosophy (AMP). For added security, it is strongly recommended to use a shipping method that is traceable.

Once the returned item has been received, it will be inspected to ensure that it is in original condition and an email will be sent to the buyer. Purchases made by debit or credit card will be refunded within 3 business days.

Risk and property

Risk of damage to or loss of the Goods shall pass to you in the case of Goods to be delivered otherwise than at our premises, at the time of delivery or, if you fail to take delivery of the Goods, the time when we have tendered delivery of the Goods.

Notwithstanding delivery and the passing of risk in the Goods (from us to you) or any other provision of these Conditions, the legal and equitable legal title and ownership in the Goods shall not pass to you until we have received in cleared funds payment in full of the price of the Goods.

Until such time as the legal title and ownership in the Goods passes to you (and provided the Goods are still in existence and have not been resold) we shall be entitled at any time to require you to deliver up the Goods to us and, if you fail to do so forthwith, to enter upon any premises where the Goods are stored and repossess the Goods.

Warranties and liability

This clause sets out the entire financial liability of each Party (including liability for the acts of omissions of its employees) to each other in respect of any breach of this agreement or any representation, statement or tortuous act or omission (including negligence) arising under or in connection with this Agreement.

Nothing in this Agreement shall limit or exclude liability of either Party to the other for death or personal injury resulting from negligence, for fraud or fraudulent misrepresentation.

Neither Party shall not be liable to the other Party, whether in contract, tort (including negligence) or restitution, or for breach of statutory duty or misrepresentation, or otherwise, for any:

  1. loss of profit
  2. loss of goodwill
  3. loss of business
  4. loss of business opportunity
  5. loss of anticipated saving
  6. loss or corruption of data or information;
  7. Loss of reputation
  8. Special, indirect consequential damage suffered by one Party that arises under or in connection with this agreement.
